COMPEL Framework License Agreement (CFLA)

Effective Date: January 26, 2026
Licensor: FlowRidge (“Licensor”)
Licensee: Any individual or entity accessing or using the COMPEL Framework (“Licensee”)

1. Definitions

“COMPEL Framework” means all materials, methodologies, models, taxonomies, processes, documentation, training content, certification standards, and related intellectual property published or made available by Licensor.

“Authorized Use” means use of the COMPEL Framework strictly in accordance with this Agreement.

“Commercial Use” means any use involving, directly or indirectly:

Sale of services
Consulting engagements
Training delivery
Productization or platform integration
Revenue-generating activities

“Academic and Research Use” means use by:

Universities, colleges, and academic institutions
Research organizations and think tanks
Government or policy bodies
Independent researchers

for purposes of:

Research
Publication
Teaching
Policy development
Non-commercial knowledge dissemination

“Accredited Partner” means an entity formally authorized by Licensor to deliver commercial services using the COMPEL Framework.

2. Grant of License
2.1 Free Internal Use License

Licensor grants Licensee a non-exclusive, non-transferable, revocable, limited license, free of charge, to:

Use the COMPEL Framework for internal business purposes
Apply its methodologies within internal operations
Reference COMPEL concepts in internal documentation
2.2 Academic and Research Use License (Explicit Grant)

Licensor expressly permits and encourages Academic and Research Use, provided that such use is non-commercial.

Authorized entities may:

Reference, cite, and analyze the COMPEL Framework in publications
Include COMPEL concepts in academic curricula and teaching materials
Use COMPEL in research studies, white papers, and policy analysis
Publish commentary, critique, or derivative insights
Present COMPEL in conferences, journals, and public forums
Attribution Requirement

All Academic and Research Use must include:

Proper attribution to the COMPEL Framework
Reference to Licensor as the source
A link to the official COMPEL website (where applicable)
Permitted Adaptation (Academic Context)

Adaptations are allowed strictly for:

Educational explanation
Analytical comparison
Research interpretation

Provided that:

COMPEL is not misrepresented as owned by Licensee
Original structure and authorship are acknowledged
3. Restrictions

Licensee shall NOT, without prior written authorization from Licensor:

Engage in any Commercial Use
Deliver paid training, certification, or consulting using COMPEL
Represent affiliation, endorsement, or partnership with Licensor
Repackage COMPEL as a competing or proprietary framework
Use COMPEL trademarks, logos, or branding externally (except permitted attribution)
Embed or integrate COMPEL into any software, SaaS platform, or product
Clarification

Academic publication, citation, and teaching do not constitute Commercial Use, provided no direct monetization of COMPEL itself occurs.

4. Commercial Licensing
4.1 Requirement

Any Commercial Use requires a separate executed agreement with Licensor.

4.2 Licensing Models

Licensor may grant rights under:

Accredited Partner License (APL)
Enterprise License Agreement (ELA)
OEM / Platform License (OPL)
4.3 Fees

Commercial licenses may include:

Subscription or annual fees
Certification and training fees
Revenue-sharing or royalty structures
5. Certification

Licensor may offer certification programs.

5.1 Rights

Certified individuals may:

Use official COMPEL credentials
Apply COMPEL in professional roles
5.2 Limitations

Certification does NOT grant rights to:

Deliver training
Commercialize COMPEL
Act as an Accredited Partner
6. Intellectual Property

All rights, title, and interest in the COMPEL Framework remain exclusively with Licensor.

No rights are granted except as explicitly stated.

7. Derivative Works
Permitted:
Internal adaptations
Academic and research interpretations
Prohibited:
Commercial derivative frameworks
Rebranding COMPEL as proprietary IP
Monetizing modified versions
8. Trademark Usage

“COMPEL” and associated marks are the exclusive property of Licensor.

Permitted:

Academic citation and reference

Restricted:

Marketing, branding, or commercial representation without approval
9. Governance and Updates

Licensor reserves the right to:

Modify the COMPEL Framework
Update certification standards
Revise licensing structures
10. Term and Termination
10.1 Term

This Agreement remains in effect until terminated.

10.2 Termination

Licensor may terminate immediately upon:

Breach of terms
Unauthorized Commercial Use
Misrepresentation
10.3 Effect

Licensee must:

Cease use
Remove materials where applicable

Academic publications already released may remain, provided they remain compliant.

11. Disclaimer

The COMPEL Framework is provided “as is”, without warranties of any kind.

12. Limitation of Liability

Licensor shall not be liable for:

Indirect or consequential damages
Loss of revenue, profit, or data
13. Indemnification

Licensee agrees to indemnify Licensor against claims arising from:

Misuse
Unauthorized Commercial Use
Breach of Agreement
14. Governing Law

This Agreement shall be governed by the laws of:

Ontario, Canada

15. Entire Agreement

This document constitutes the entire agreement regarding use of the COMPEL Framework.

Addendum A: Platform / OEM License (SaaS and Technology Integration)
A.1 Scope

Subject to a separate agreement, Licensee may:

Embed COMPEL into platforms and SaaS
Operationalize governance models and workflows
A.2 Designation

Approved Licensees may use:

“Powered by COMPEL”

Subject to branding and compliance rules.

A.3 Restrictions

Licensee may NOT:

Expose reusable COMPEL IP
Enable replication by third parties
Sub-license without authorization
A.4 Commercial Terms

May include:

Usage-based pricing
Revenue share
Tiered licensing
